1. Introduction

Welcome to Cloud Masters Computing. These Terms & Conditions (“Terms”) govern your access to and use of our website, services, client portal, and any associated online products (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

2. Definitions

  • “Client” means the person or entity that has contracted with Cloud Masters Computing for managed services or cloud solutions.
  • “User” means you, as a visitor, client, or user of our Services.
  • “Services” includes (but is not limited to) cloud computing, managed IT services, hosting, support, and any software or web-based portal offered by Cloud Masters Computing.
  • “Website” refers to cloudmasters.ca and any other domains, sub-domains or client portals operated by Cloud Masters Computing.

3. Acceptable Use

3.1 You agree to use the Services only for lawful purposes and in compliance with all applicable Canadian federal and provincial laws, regulations and third-party rights.
3.2 You must not use the Services in any way that:

  • Violates any applicable law or regulation.
  • Infringes intellectual property or other rights of any person.
  • Interferes with or disrupts our Services or servers, or any connected network.
  • Attempts to gain unauthorized access to other networks or systems.
    3.3 We reserve the right to suspend or terminate access if you use the Services in a prohibited manner.

4. Intellectual Property

All content, design, text, graphics, logos, software and trademarks used or owned by Cloud Masters Computing are our intellectual property or licensed to us. You may view, download or print materials from the Website for your personal or internal business use only, provided you retain all copyright and proprietary notices. Commercial reproduction, redistribution or modification of our materials is prohibited unless we give explicit written permission.

5. Service Provision

5.1 Cloud Masters Computing will provide the Services in accordance with the agreement you enter (e.g., service contract, client agreement).
5.2 We strive to ensure high-quality service but make no guarantee that the Services will be uninterrupted, error-free or fully secure.
5.3 We may change, suspend or discontinue parts of the Services at any time without liability to you, provided we give reasonable notice where practicable.

6. Limitation of Liability & Disclaimers

6.1 To the fullest extent permitted by law, Cloud Masters Computing disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
6.2 We do not guarantee that the Services will meet your requirements, be error-free, or that any results you obtain will be accurate or reliable.
6.3 In no event shall Cloud Masters Computing (or its directors, officers, employees) be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profit, loss of data, business interruption or other similar loss, even if we were advised of the possibility of such damages.
6.4 Our aggregate liability to you for all claims related to these Terms shall not exceed the fees you have paid to us in the 12-month period immediately preceding the event giving rise to liability.

7. Indemnity

You agree to indemnify, defend and hold harmless Cloud Masters Computing and its personnel from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising from:

  • Your misuse of the Services or breach of these Terms;
  • Your violation of any law or third-party rights.

8. Privacy & Data Handling

We handle personal information in accordance with our Privacy Policy. As a cloud/managed services provider, we acknowledge that you remain responsible for the data you store, process or transmit via our Services. We will implement reasonable security safeguards commensurate with the sensitivity of the information and will comply with Canadian privacy law obligations.
Parties agree that:

  • You retain ownership of your data;
  • We will assist you in retrieving or migrating your data upon termination of services;
  • Cross-border data transfers (if any) will be governed by your prior consent and suitable contract terms.

9. Termination

9.1 Either party may terminate your access to the Services in accordance with the applicable service agreement.
9.2 Upon termination:

  • You must stop using the Services;
  • You remain responsible for any outstanding amounts payable;
  • We may disable or delete your access and/or data after a commercially reasonable period, unless otherwise agreed.

10. Governing Law & Jurisdiction

These Terms and your use of the Services are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You submit to the exclusive jurisdiction of the courts in Nanaimo, British Columbia for any disputes arising under or relating to these Terms.

11. Amendments

We may modify or update these Terms from time to time. We will post the revised Terms on our Website with the “Last Updated” date. Your continued use of the Services after such updates constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Services.

12. Miscellaneous

12.1 If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force.
12.2 These Terms together with any written service agreement between you and Cloud Masters Computing constitute the entire agreement between you and us relating to the Services, and supersede any prior agreements or understandings.
12.3 No waiver of any term by us will be effective unless in writing and signed by an authorized representative of Cloud Masters Computing.
12.4 The headings in these Terms are for convenience only and do not affect interpretation.
